Introduction

These terms and conditions apply between you, the User of this Website (including any sub-domains, unless expressly excluded by their own terms and conditions), and Rokm LTD, the owner and operator of this website. Please read these terms and conditions carefully, as they affect your legal rights. Your agreement to comply with and be bound by these terms and conditions is deemed to occur upon your first use of the Website. If you do not agree to be bound by these terms and conditions, you should stop using the Website immediately.

In these terms and conditions, the terms;

User, Users, You, Customer or Member, means any third party that accesses the Website and is not either (i) employed by Rokm LTD and acting in the course of their employment or (ii) engaged as a consultant or otherwise providing services to Rokm LTD and accessing the Website in connection with the provision of such services.

You must be at least 18 years of age to use this website. By using the Website and agreeing to these terms and conditions, you represent and warrant that you are at least 18 years of age.

 

The User:

Intellectual Property and Acceptable Use

 

  1. All Content included on the Website, unless uploaded by Users, is the property of Rokm LTD, our affiliates, suppliers or other relevant third parties. In these terms and conditions, Content means any text, graphics, images, audio, video, software, data compilations, page layout, underlying code and software and any other form of information capable of being stored in a computer that appears on or forms part of this website, including any such content uploaded by Users. By continuing to use the website you acknowledge that such Content is protected by copyright, trademarks, database rights and other intellectual property rights. Nothing on this site shall be construed as granting, by implication, estoppel, or otherwise, any license or right to use any trademark, logo or service mark displayed on the site without the owner’s prior written permission.

 

1.1. You may, for your own personal, non-commercial use only, do the following:

Retrieve, display and view the Content on a computer screen or mobile device, any Content relating to Rokm LTD.

 

1.2. You must not otherwise reproduce, modify, copy, distribute or use for commercial purposes any Content relating to Discount Den or Rokm Events, Rokm Crystals & Engravings, without the written permission of Rokm LTD.

 

 

Prohibited Use

  1. You may not use the website for any of the following purposes:

In any way which causes, or may cause, damage to the Website or interferes with any other person’s use or enjoyment of the Website;

 

In any way which is harmful, unlawful, illegal, abusive, harassing, threatening or otherwise objectionable or in breach of any applicable law, regulation, governmental order;

 

Making, transmitting or storing electronic copies of Content protected by copyright without the permission of the owner.

 

The Dropshipper:

3.1 The term “Redistribute” means, Dropshippers only, when approved for holding an account at rokm.co.uk, or any sub-domain expressed by Rokm LTD, may make a copy of, save, download, or store Content created by Rokm LTD, for the appropriate use of creating external product listings on Dropshipper’s sales channels.

3.2 The Dropshipper is responsible for any Content that is redistributed and shall not hold Rokm LTD accountable for any loss or modification to Content, once it has been copied, downloaded or stored.

3.3 The term “Dropshipper” means the client Rokm LTD is directly engaged with, who is given the expressed permission, or not, to resell Rokm.co.uk products within Rokm Crystals and Rokm Engravings sections only.

3.4 The term “Dropship Customer” or “Customer” is defined the Dropship Terms and Conditions section only as the party, or client, the Dropshipper is responsible for. The Dropship Customer is no the responsibility of Rokm LTD, apart from what is described in the section “Refunds and Cancellations” and in “Order Fulfilment”.

 

Terms and Conditions for Dropshippers:

 

  1. Acceptance of Terms

 

By accessing or using Rokm LTD’s website “rokm.co.uk”, you agree to comply with and be bound by these Terms and Conditions.

 

  1. Dropshipping Agreement

 

(a) You acknowledge that you are a Dropshipper and will resell our products through your own channels.

 

(b) You are responsible for managing your own product listings, pricing, and customer service.

 

(c) You agree not to misrepresent the products, engage in deceptive practices, or violate any applicable laws or regulations.

 

(d) Rokm LTD reserves the right to approve or decline any application from Dropshippers.

 

(e) When applying to be a Dropshipper of Rokm LTD or rokm.co.uk, Dropshippers should supply evidence of:

(e.i) Previous sales, or, the location of their sales channels

(e.ii) First and Last legal names, Email Address, Business Name, Billing Address. If the Dropshipper is not happy with supplying this information, then you are to cancel or refrain from applying as a Dropshipper with Rokm LTD.

 

  1. Product Information and Pricing

 

(a) Rokm LTD reserves the right to update product information, prices, and availability at any time without prior notice. We will endeavour to update Dropshippers using social media, personal messaging via social media, email marketing, website blog updates or account notifications. Email marketing will be our priority and preferred method of communication.

 

(b) You are responsible for ensuring that your product listings reflect accurate information and comply with our pricing policy.

 

(c) No paper-based invoices or receipts will be placed with an order, except for international orders that require customs clearance documentation. Where documents are supplied, we may require the Dropshipper to supply the value of which the order was sold for, or, where this information is not available, we will use our own retail values.

 

  1. Orders and Fulfilment

 

(a) Customers place orders through your platform, and Dropshippers are responsible for forwarding those orders to rokm.co.uk for fulfilment.

 

(b) Rokm LTD will process orders and handle shipping directly to the Dropshipper’s customer.

 

(c) Rokm LTD will communicate personally to Dropshipping clients of any delays, issues or changes relating to orders placed on rokm.co.uk. Subsequently, you agree to promptly inform your customers of any delays, issues, or changes related to their orders.

 

(d) It is the responsibility of the Dropshipper to purchase stock in a timely manner to ensure that orders are fulfilled while “in-stock”. Any item purchased for Dropshipping on rokm.co.uk showing as “in-stock” is not a guarantee of stock availability and Rokm LTD reserves the right to cancel an order without reason, but with notification of such action.

 

(e) Our stock level visible on rokm.co.uk is a true reflection of the stock available to both retail customers and Dropshippers alike. Stock levels are not reserved exclusively for either party.

 

(f) Orders are fulfilled in the order they are received from retail customers and Dropshippers and we will not prioritise orders, unless orders have been placed with the “express shipping” option.

 

(g) Rokm LTD will dispatch dropship orders according to the shipping classification purchased at checkout.

 

(h) Rokm LTD will not hold to ransom dropship orders that have been priced incorrectly by ourselves. We will continue to fulfil dropship orders where:

(h1) Shipping charges have changed with or without notification from couriers, beyond Rokm LTD’s control and have yet to be updated on rokm.co.uk

(h2) Rokm LTD has undercharged Dropshippers for in-stock items

 

(i) Rokm LTD will safely package orders received from Dropshippers and dispatch according to the time the dropship order was received.

(j) Rokm LTD will fulfil orders Monday through Friday, with the exception of Bank Holidays. Where the demand is necessary, we may fulfil orders at weekends and off-peak times.

 

  1. Dropship Branding

 

(a) Dropshippers may send promotional and branding material to our office address to be used on or in dropship orders to customers. Office address: Rokm LTD, 2 Bath Street, ILKESTON, Derbyshire, DE7 8FB.

 

(b) Rokm LTD will apply, where necessary, any branding information supplied to us by Dropshippers, to be used only with respective dropship orders and which won’t affect the size or reasonable weight of the packaging, including:

(i) Stickers for the outer packaging

(ii) Promotional inserts and/or leaflets

(iii) Thank you notes

(iv) Complimentary gifts

 

(c) Will not include any dropship branding or promotional items that:

(i) Contains explicit or adult imagery, misleads, of political persuasions, of religious content or symbols, or advertising similar products to our own.

(ii) Alters the weight of packages by more than 5 grams or prevents the safe packaging of our products

(iii) Could be deemed hazardous by choking, may contain allergic properties such as fragrances, or could leak, break, or harm a customer in any way physically, emotionally or mentally.

(iv) Is not relevant to your brand and/or business

 

(d) It is the responsibility of Dropshippers to enquire as to the amount of available promotional material available for their orders. Rokm LTD will not be held liable for any loss or damage to promotional or branding materials whether Rokm LTD is at fault or not.

 

(e) Promotional and branding materials maybe returned at the Dropshippers expense and costed accordingly for postage and settled by the Dropshipper before dispatch.

 

(f) It is not compulsory for Dropshippers to send their own promotional or branding materials. Where no promotional or branding materials are supplied, Rokm LTD will use plain packaging (with the exception of the return address on the shipping label) and no further promotional or use of branding will be used (white label).

 

  1. Payments and Payment Structure

 

(a) Products applicable for Dropshippers will have two pricing tiers. The retail price will be available for direct sales to customers of rokm.co.uk. The second tier will be a discounted price of approximately 35% to 40% off the retail price and only available to dropshipping clients on rokm.co.uk. The dropship price will only be viewable to dropship clients after logging on to rokm.co.uk, or, by use of a coupon/discount code to use at checkout.

(b) The price set for both retail customers and dropship clients are set and non-negotiable and include tax.

(c) It is the responsibility of the Dropshipper to set their product pricing according to rokm.co.uk’s product.

 

  1. Refunds and Cancellations

(a) Rokm LTD reserves the right to cancel and refund any dropship order received for any reason. We will notify the Dropshipper of such so that you can take the appropriate action with your customer. We will refund in accordance with the terms set below.

(b) Out of stock goods, damaged goods held in office or where the description of the product sold does not meet reasonable requirements, will not be fulfilled and will refund in full the Dropship order.

(c) Where a dropship customer cancels an order after the Dropshipper has forward the order to Rokm LTD, the Dropshipper must inform us as soon as possible and before the order has been fulfilled by us. Once fulfilled, the order cannot be refunded.

(c.i) In addition, personalised items cannot be cancelled or refunded once personalisation has commenced, for example, where a product has been partly, or fully, engraved.

(c.ii) Personalised orders will only be replaced where the dropship customer has supplied photographic evidence to the Dropshipper of a fault with the product, or fault with the personalisation – for example, damage upon receipt or engraving has not provided a true likeness of the product imagery

(d) If an order arrives damaged, the Dropshipper must obtain and forward photographic evidence to contact@rokm.co.uk for further investigation. If it is the fault of Rokm LTD, or, fault found with the courier, a replacement will be dispatched to the dropship customer, or, a refund issued to the Dropshipper, respectively upon request. A claim for damage but reach Rokm LTD within 10 working days of the order being dispatched. After this time, a refund will not be issued. This is in line with standard UK Consumer Rights Acts.

(e) Delivery delays:

(e.i) UK Mainland and Outlying Regions, Scottish Highlands, Isles and Jersy and Guernsey: If an order has not arrived to a dropship customer in these affected areas within 10 working days from the date of dispatch, a replacement will be issued, or refunded to the Dropshipper upon request, provided the Dropshipper has notified Rokm LTD within a reasonable time. It is the Dropshippers responsibility to issue a refund to your customer respectively. Our refund policy is with the Dropshipper only.

(e.ii) International, EU and Non EU: If an order has not arrived to a dropship customer in these affected areas within 30 calendar days from the date of dispatch, a replacement will be dispatched at no additional cost, or refunded to the Dropshipper upon request, provided the Dropshipper has notified Rokm LTD within a reasonable time. It is the Dropshippers responsibility to issue a refund to your customer respectively. Our refund policy is with the Dropshipper only.

(e.iii) If an order has tracking available and shows as delivered but the customer claims no delivery has been received, Rokm LTD will investigate with the courier as to the status of the delivery. If photographic evidence by the courier shows a complete delivery to the correct address, no refund will be issued, nor a replacement dispatched. A claim must be received no later than 10 working days regardless of customer location globally.

(e.iv) If an order has tracking available, shows as delivered, but to the wrong delivery address, the Dropshipper should confirm with their customer if the delivery details are correct. If not, no replacement or refund will be issued by Rokm LTD. If the customer’s delivery details are correct and is confirmed either by the customer or courier that an order has been delivered to the wrong address, the customer must make reasonable efforts to obtain their order if it has been delivered locally. If this is deemed unreasonable i.e. the customer cannot reach the address to collect, or, cannot contact the address owner, a replacement will be dispatched, or a refund issued to the Dropshipper upon request.

 

  1. Intellectual Property

 

(a) You acknowledge that all intellectual property rights, including but not limited to trademarks and copyrights, related to the products and the Website are owned by Rokm LTD.

 

(b) You are granted a limited, non-exclusive, non-transferable license to use product images and descriptions solely for the purpose of promoting the products on your platform.

 

(c) Only the product categories of “Rokm Crystals” and all subsequent products, and “Rokm Engravings” and all subsequent products are available to Dropshippers on a commercial basis only and as described in section (b) of Intellectual Property.

(d) Dropshippers are NOT permitted to use content from another section of this website, including but not limited to, Rokm Events, Seat Hire, Discount Den, and any logos or other Intellectual Property associated with this website.

 

  1. Termination

 

(a) Both Rokm LTD and Dropshippers may terminate this agreement without any notice.

 

(b) Rokm LTD reserves the right to terminate the agreement immediately if you breach these terms.

 

  1. Limitation of Liability

 

(a) Rokm LTD shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in any way connected with the use of the Website or products.

(b) Rokm LTD is not responsible for communicating with Dropship customers. Our responsibilities, obligations and interests are aimed at Dropshippers who sell our products on our behalf, with the exception to our responsibilities in section “Refunds and Cancellations” under “Terms and Conditions for Dropshippers”.

 

Free Account Registration

  1. You must ensure that the details provided by you on registration, or at any time the user holds an active account on rokm.co.uk, are correct and complete.

14.1 When you register on this website, you will be asked to create a password, which you should keep confidential and not disclose or share with anyone.

14.2 If you lose your password, you should go to the Login page and select “Lost Password”. Fill out the proceeding form correctly and you’ll receive an automatic email from Rokm LTD to reset your password. Follow the instructions within the email. Most emails are received within 10 minutes of requesting a new password. If you do not receive an email, please check your spam/junk folder. If you still haven’t received an email, go back to rokm.co.uk and try the “Forgot Password” form again. If your details are correct and no email has been   received, please contact Rokm LTD at contact@rokm.co.uk and Rokm LTD will investigate further.

If we have reason to believe that there is or is likely to be any misuse of the Website or breach of security, we may require you to change your password or suspend your account.

 

14.3. You must inform us immediately of any changes to the information that you provide when registering by updating your personal details to ensure we can communicate with you effectively and ensure customer orders are dispatched to the correct address.

 

14.4. We may suspend or cancel your registration with immediate effect for any reasonable purposes or if you breach these terms and conditions.

 

14.5. You may cancel your free registration at any time;

 

By closing your account via “My Account” and following the instructions on the Website, or;

 

By informing us in writing to the address at the end of these terms and conditions, or via email to contact@rokm.co.uk.

 

If you do cancel or terminate your account, you must immediately stop using Rokm LTD Website for any further purchases, unless the option to “Pay as a Guest” is available. “My Account” will no longer be accessible. Cancellation, termination or suspension of your registration does not affect any statutory rights.

 

14.6 Your personal information will be deleted from rokm.co.uk customer database and you will not receive any further communications regarding your account, or marketing emails about rokm.co.uk and it’s products and services. Please allow 28 days from the date of closing you account to be removed from email communications. If after this time you still receive marketing emails, please click “Unsubscribe” within any email from rokm.co.uk, or, contact Rokm LTD via email to request your details be removed our email database.

 

14.7. Only one member per registered account.

 

Discount Den Membership Terms & Conditions

Terms and Conditions for Subscription Services

 

  1. Acceptance of Terms

 

By subscribing to Discount Den, a trading name of Rokm LTD, you agree to abide by these Terms and Conditions.

 

  1. Free Trial Subscription

 

(a) Users may opt for a 7-day free trial, after which they will be charged £20.00 (Twenty GBP only) for an annual subscription.

 

(b) Users must provide valid credit or debit card details at the beginning of the trial but no charge will be applied until the free trial has completed. Payment will charged 8 calendar days from the date the free trial commences.

 

(c) A 30-day refund policy applies from the date of the charge. Users can request a refund within this period by emailing in writing to contact@rokm.co.uk and the subscription charge will be refunded in full via the same method payment was taken.

 

(d) Users will be automatically charged annually until the subscription is closed by the user.

 

  1. Annual Subscription Renewal and Users Who Opt For No Free Trial.

 

(a) Users may choose an annual subscription for £20.00 (Twenty GBP only). First time users can choose this subscription if they do not wish to use the free trial, or, for all users renewing their annual subscription.

 

(b) A 30-day refund policy applies from the date of the charge. Users can request a refund within this period by emailing in writing to contact@rokm.co.uk and the subscription charge will be refunded in full via the same method payment was taken.

 

(c) Users will be automatically charged annually until the subscription is closed by the user.

 

  1. Rolling Monthly Subscription

 

(a) Users may opt for a rolling monthly subscription priced at £5.00 per month (Five GBP only).

 

(b) Users will be charged on the same day each month the subscription starts via the credit or debit card information the user provided when setting up their membership.

 

(c) No refund policy applies, but users can cancel their subscription at any time through their account.

 

  1. Refund Policy

19.1 There is no refund policy for monthly subscriptions charged at £5.00 (Five GBP only).

19.2 Users who subscribe to Discount Den’s annual membership have 30 days from the date of being charged to request a full refund. Upon receiving a users request, Rokm LTD, trading as Discount Den, will refund in full via the method of payment the user provided at the start of the membership.

19.3 Users who request a refund after 30 days have elapsed are not eligible for a refund, but may still cancel their subscription. Users can downgrade their account to a free account, with no membership or benefits of using Discount Den. If the user wishes to reinstate a membership, they will be treated as if they are a new member and be charged according to their chosen subscription without a free trial:

– Monthly

– Annual

19.4 Only after a period of 6 years from the date of account termination, may a user be treated as a new member and regain any access to promotions, including free trials, offered to new members.

 

  1. Account Termination

 

(a) Users can terminate or delete their account at any time.

 

(b) Subscription termination is automatic upon account closure, and no further payments will be taken at the time of renewal, but must follow the method provided in 9(c) to ensure that subscriptions will not continue to be charged after account termination

 

(c) Users who are subscribed to a monthly or annual subscription who wish to terminate their account in it’s entirety should follow these steps:

(i) Login at rokm.co.uk and go to “My Account > Subscriptions”.

(ii) Tap or click (respective of the device being used, mobile or desktop computer) “Cancel Subscription > Confirm”. The user will receive email confirmation from rokm.co.uk that the membership subscription has been cancelled and no further charges will be applied to users payment method.

(iii) To terminate the account, the user, while logged in to rokm.co.uk, should go to “My Account > Delete Account > [Input Account Password] > Confirm”. Alternatively, users can email Rokm LTD, trading as Discount Den, to request account termination. Rokm LTD will respond to confirm account termination.

 

  1. Subscription Payment Issues and Refunds

 

(a) In case of payment issues or overcharges, users must contact Rokm LTD via email for a full refund.

 

(b) For international users, refund amounts may be affected by currency exchange rates. Refunds are processed in GPB (British Pound). The receiving may be less, equal to or greater than the amount paid at the time the subscription was charged. Rokm LTD will not be held liable for differing currency exchange rates and a full refund will be complete provided the full amount in GBP has been issued.

 

(c) If any charge is applied after a user has terminated their account, or downgraded to free no-charge account, the user must contact Rokm LTD, trading as Discount Den, via email at contact@rokm.co.uk, for a full refund. Rokm LTD will also investigate the user’s account to ensure that no further payments will be taken.

 

(d) If a user has been charged after any subscription termination (after a user has received an email to confirm account termination and/or subscription termination), the user can also raise a dispute with WooCommerce or Stripe, who govern Rokm LTD’s website payments, by contacting their bank who issued the payment. In the event of a dispute, Rokm LTD will not challenge over payments and will honour any chargebacks. If the User claims additional costs that have been charged in accordance with our terms, then Rokm LTD reserves the right to form a legal case to recover those fees charged for the duration of User’s subscription.

27.1. Whilst Rokm LTD uses reasonable endeavours to ensure that the website is secure and free of errors, viruses and other malware, we give no warranty or guaranty in that regard and all Users take responsibility for their own security, that of their personal details and their computers.

29.2 These terms and conditions together with the Privacy Policy and Cookies Policy contain the whole agreement between the parties relating to its subject matter and supersede all prior discussions, arrangements or agreements that might have taken place in relation to the terms and conditions.

29.3. The Contracts (Rights of Third Parties) Act 1999 shall not apply to these terms and conditions and no third party will have any right to enforce or rely on any provision of these terms and conditions.

29.4. If any court or competent authority finds that any provision of these terms and conditions (or part of any provision) is invalid, illegal or unenforceable, that provision or part-provision will, to the extent required, be deemed to be deleted, and the validity and enforceability of the other provisions of these terms and conditions will not be affected.

29.5. Unless otherwise agreed, no delay, act or omission by a party in exercising any right or remedy will be deemed a waiver of that, or any other, right or remedy.

29.6. This Agreement shall be governed by and interpreted according to the law of England and Wales and all disputes arising under the Agreement (including non-contractual disputes or claims) shall be subject to the exclusive jurisdiction of the English and Welsh courts.
